Welcome to www.docnu.com(hereinafter called "Website" or “Portal”).The Website and all its assets are owned in whole by DOC&U Healthcare Private Limited (hereinafter called the "Operator" or "We") and provide an Electronic Medical Record (EMR) based platform to consumers, doctors, hospitals and their related healthcare service arms, to help better consumer health. The Website also provides a variety of online features which involve data related to ambulance, pharmacy and blood bank directory services, in addition to the EMR software for doctors and hospitals. These set forth terms and conditions (hereinafter called "Terms of Use") are for the access, viewing or usage of the Website or any of the functionalities defined in the Website. Hereinafter collectively referred to as "Use" of the Website is a legal binding agreement between the user and the Operator and governs your Use of the Website. Please read the “Terms of Use” carefully, your Use of the Website signifies your acceptance to the “Terms of Use”. If you do not wish to accept the “Terms of Use”, please do not Use the Website in any manner. You can archive a copy of these “Terms of Use” for your records. These “Terms of Use” may be modified from time to time for the betterment of services to the consumer at the Operator’s sole discretion and you therefore need to check these “Terms of Use” frequently for any updates. If you continue to Use the Website after the modification of these “Terms of Use”, you will be deemed to have accepted the same. The Operator reserves the rights to include additional terms and conditions as required for the betterment of services offered as it deems fit.

Registration - To use some of the features and functions of the Website, you may need to be registered and provide your name, valid email address, contact number and other personal details or personally identifiable information (hereinafter "Personal information"). see our “Privacy Policy” at www.docnu.com if, when and how the Personal Information would be used. 

  2. Authorized users - You represent that you have read and understood and that you agree to be bound by these “Terms of Use”. The Use of this Website is intended only for individuals aged 18 years or older. By using the Website you represent that you are at least 18 years old.

  3. Security of your Account – You are solely responsible for the confidentiality of any password and other account information that you create in order to use the Website. You agree to notify us immediately on any unauthorized use of your account, user name, or password. You also agree that We are not liable in any manner for any loss that you may incur as a result of any third party using your user account or password, either with or without your knowledge. You are solely liable for any losses incurred by the Operator, our affiliates, officers, directors, employees, consultants, agents, and representatives due to misuse of your account or password. Login to your account shall be used by one person. Multiple users are not permitted to share the same/single login.

Informed and Applied Consent - It is understood by all parties that by registering to use the website or portal for the purposes as defined by the features, all users involved are in full awareness and accordance in whole to the terms and conditions and privacy policy set forth in the website. The Operator will ensure protection of all data captured into the system by the various users. At no time will any such information be used to identify a particular user/ individual, except as when required by law.

  5. Individual de-identified records of your data (including any submitted Personal Information) may be viewed or accessed ONLY for the purpose of resolving a technical support issues, in a suspected violation of the Terms of Use, for statistical analysis or as may be required by law. All such data, if and when used will be de-identified for index showcase and statistical purposes.

  6. Use of our Website Functionalities – The functionalities provided by on the Website is based on SaaS model (Software as a service). Capture of medical information which is optional might be involved as part of the feature usage and functionalities. For better use of these functionalities, We may from time to time enable software downloads. These software downloads will also be subject to additional terms and conditions prior to use.

  7. Trial offer of the functionalities on the Website.

    1. From time to time We may offer trial period for the usage for certain functionalities. This is to enable you to be aware of the features on the Website.

    2. You will not be eligible to access any of these functionalities if you are a direct competitor to the Website. You should not attempt to access the functionalities for the purpose of monitoring their availability.

    3. Any data, including Personal Information that may be entered by you during such trial will not be retained after the trial period is over, as system default. You will need to buy an appropriate subscription to further use and retain this data. 

  8. Limitations with our services

    1. Our Services may be subject to limitations such as, limits on disk storage space, lack of network connectivity, etc. Other limitations depends on the subscription plan opted by you and shall be subject to the terms of such subscriptions which shall be in addition to these Terms of Use.

    2. We may suspend your ability to Use the Website at any time while We investigate any complaints or alleged violations of these “Terms of Use” or for any other reason at our sole discretion. At such time We cannot assure you of accessibility or availability of the Website. 

  9. Subscription Fee payment and applicable taxes

    1. You agree to pay all subscription fees and other fees applicable to your Use of the Website and you shall not circumvent the fee structure in any way. The fee is dependent on the user plan that you purchase and not on actual Use of the Website.

    2. The subscription fee is not refundable.

    3. Each User / Member is solely responsible for payment of all taxes, legal compliances, statutory registrations and reporting. The Operator is in no way responsible for any such taxes except for its own income tax.

    4. At such point that online payment facilities are made available, the payment can be made using such facilities. Any such online payment shall involve third party support and services and We are not responsible for any loss or damage caused to you during the payment process, as these third party services are beyond our control.

  10. All payments can be made via cheque or DD mailed to us on the following address. DOC&U Healthcare Private Limited, "Cauvery Krupa" 1st Floor, #297, 15th Main, 100Feet Ring Road, J.P.Nagar 5th Phase, Bangalore - 560078. We would consider the completion of the payment process only on receipt of the amount to the Operator’s designated bank account. 

    1. Fees not received within the specified due dates attract late charges of 18% per annum from the due-date of payment which may be levied at our discretion. 

    2. We reserves the right to modify the fee structure by providing a 30 day prior notice, either by notice on the Website or through e-mail to the registered user, which shall be considered as valid and agreed communication.

    3. On non-payment of fee for a continuous period of 2 months, We reserve the right to discontinue your subscription and delete all information in your account, without prejudice to any rights that We may have.

  11. Intellectual Property  All intellectual property rights in the Website, including but limited to any logos, designs, databases, arrangement of databases, user interfaces, software, audio, pictures, logos shall vest solely with the Operator and where applicable its third party licensors. Save for a limited right to Use the Website, no other rights are being granted to you. You shall not sell, copy, reproduce, modify, distribute, display, publicly perform, prepare derivative works based on, repost or otherwise Use any content of the Websiteor any parts thereof, including any software downloads, in anyway other than those listed in this “Terms of Use”. You must not use any content of this Website on any other website or in a networked computer environment for any purpose other than your own use. You shall not reverse engineer or attempt to interfere with the operation of any part of this Website. The Operator retains all its rights, title and interest in all copyrights, know-how, trade secrets, trademark, logo, the name DOC&U, content, design and features on the Website. All other product names, marks, logos, symbols used on the Website may be the trademarks of their respective owners. The ownership of the data vests with the respective registered users and you grant the Operator an irrevocable, perpetual, royalty free license to display such data as may be required for the better use of the functionalities available on the Website. You also grant the Operator an irrevocable, perpetual, royalty free license to display, host, make available for public viewing and any other use as required, any articles, posts, discussions literary works or other queries that you choose to upload and submit on the Website.

  12. Affiliated / External Sites – The Website may be linked to the website of third parties, affiliates and business partners. The Operator has no control over, and is not liable or responsible for content, accuracy, validity, reliability, quality for such websites or made available by / through the Website. Inclusion of any link on the Website does not imply any endorsement of the linked site. You use the links and these services at your own risk.

  13. Conduct – In your Use of the Website, you agree not to:

    1. Restrict or inhibit any other visitor or member from using the Website, including, without limitation, by means of "hacking" or defacing any portion of the Website;

    2. Use the Website features, software and/or service for any unlawful purpose or post any information which infringes third party’s intellectual property rights or privacy;

    5. That the integrity of any information on the Website or the information you upload will be maintained;

    6. That it endorses the views or the services of any other user or provider who advertises their services on the Website; 

    7. That the Website or any content is free from viruses or any other malware.

    You understand that the Operator is not in any manner responsible for any services provided by any of the Doctors, Hospitals andAmbulances, and any third party whose services are advertised on the Website. It is your responsibility to ensure that antecedents of such third partyare proper and your use of their services it based on your decision.

Compliance to Laws – The users are solely responsible for compliance to all applicable laws, including patient history, patient appointments, patient queries for expert opinions, patient medical records, and confidential information and privacy laws. The Website is intended for use in India and the Operator does not make any claim that the Website and its contents may be lawfully viewed or accessed outside of India. You are solely responsible for complying with laws applicable to you or your access in India or outside.

  16. Indemnity – You agree to indemnify and hold harmless the Operator, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from your Use of the Website, your violation of the Terms of Use, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. We will notify you promptly of any such claim, loss, liability, or demand, and in addition to your foregoing obligations, you agree to provide us with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.

  17. Termination

    1. You can terminate your account on the Website at any time by providing prior 30 days written notice to support@docnu.com. The notice period is required to deactivate your account, to verify any pending payments.

    2. The Operator reserves the right to terminate any account in cases of any breaches of these “Terms of Use’ or for any other reason in the sole discretion of the Operator. The Operator may also in its discretion temporarily or indefinitely suspend your account without notice.

    3. Once temporarily suspended, indefinitely suspended or terminated, you may not continue to Use the Website under the same account, a different account or re-register under a new account. On termination or suspension of your account, you shall no longer have access to data, messages, files and other material you keep on the Website. ensure that you have continuous backup of any data you have rendered in order to comply with your record keeping process and practices.

    4. Return of Your Data - Upon request by you made within 30 days after the effective date of termination of a subscription, it will be made available to you for download at a minimal fee. contact our customer service at support@docnu.com. for such requirements. In the event We suspend or terminate your registration or account, We reserve the right but not an obligation to notify other members and provide them the reason for the action that We have taken. Even after termination, certain obligations mentioned under Warranty Disclaimer, Limitation of Liability, Indemnity, Intellectual Property, Dispute Resolution will continue and survive termination.

The courts at Bangalore, Karnataka shall have exclusive jurisdiction over any claims, disputes or any other matter in relation to these Terms of Use or the Website.

  21. Severability, Waiver – If any provision of this Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. No waiver of any provision of these Terms of Use shall be binding unless waived by the Operator in writing. No waiver of any of the provisions of these Terms of Use shall be deemed or shall constitute a waiver of any other provision and no waiver shall constitute a continuing waiver.

The aggregate liability of the Operator to you or any third party, with regard to these Terms of Use, your Use of this Website and its contents and functionalities or for any reason related to the operation of the Website, whether arising in contract, tort, negligence or otherwise howsoever, shall be limited to Rupees One hundred Only (Rs.100/-). In no event shall the Operator be liable for any loss of business, loss of reputation, loss of profits (anticipated or real), loss of data, loss of goodwill, , any business interruption or any direct, indirect, special, incidental, consequential, punitive, tort or other damages, however caused, whether or not it has been advised of the possibility of such damage.

This platform architecture and its embedded data capture flows have been developed using HIPAA guideline principles with regards to the handling of PHI.

The policy of this organization is to ensure, to the extent possible, that PHI is not intentionally or unintentionally used or disclosed in a manner that would violate the HIPAA Privacy Rule or any other regulation governing confidentiality and privacy of health information.
